Draft for solicitor review. This page is here so the site is not silent on privacy, cookies or the contract. It is not legal advice and it is not the final wording.
Customer terms
Status of these terms
These customer terms are a working draft for solicitor review. They are published so the price, the term and the ownership rules on the website match the contract. They are not legal advice, and they should not be relied on as the final terms until a solicitor has reviewed them and the company details below are completed.
Who you are contracting with
The Web Designers is a trading name used by Nick Groves. The registered company name is [Add registered company name]. Company number: [Add company number]. Registered office: [Add registered office address]. Email: hello@thewebdesigners.co.uk. Phone: [Add UK phone number]. VAT number: [Add VAT number if registered]. Fields in square brackets are placeholders and must be replaced before these terms are used with customers.
The service
We design, host and look after a WordPress website based on a niche template. The plans, page limits and monthly edit allowances are the ones shown on the pricing page at the time you subscribe. We do not build online shops under these plans. Copy is drafted from the information you provide. We do not add reviews, ratings, awards, staff numbers or years of trading that you have not supplied.
Price and VAT
Prices on the site exclude VAT. VAT at the standard UK rate (currently 20%) is added at checkout. Starter is £29.99 a month, Business is £49.99 a month, and Growth is £99 a month. Paid yearly upfront, with no setup fee: Starter £299.90, Business £499.90, and Growth £990. That is 10 times the monthly price, so two months are included. The first year of a .co.uk, .uk or .com is included up to £15, registered in your name, and renewals stay included while you subscribe. A brand kit is included on Business and Growth. On Starter it is £49 excluding VAT, once. Optional add-ons, if you are not on Growth, are Vouchsmith at £19 a month and Google Business Profile care at £29 a month, both excluding VAT. Growth includes both of those, so they are not billed again.
The term you choose
12-month minimum, paid monthly, with no setup fee. This is the default. You can give notice to end on the last day of that minimum. During the 12 months you can buy the design files for £299 excluding VAT. The monthly fee still runs until the minimum ends. Pay yearly upfront at 10 times the monthly price, so two months are included, with no setup fee. The payment covers 12 months and renews yearly unless you give 30 days' notice before it renews. A buy-out does not apply. The design files transfer if you leave at the end of a paid year. Monthly billing with a £49 setup fee excluding VAT and a 3-month minimum. During those 3 months you can buy the design files for £299 excluding VAT, and the monthly fee still runs until the minimum ends. After the 3 months, give 30 days' notice. The design files then transfer when you leave, with no further buy-out. You make this choice at checkout. The 12-month option is a minimum. The monthly option has a 3-month minimum. The yearly option is paid at the start of the year.
Domain, content and design
The domain is registered in your name from the start. We are the technical contact, not the registrant. The first year of a .co.uk, .uk or .com is included when it costs no more than £15, and renewals stay included while you subscribe. You own your text, photos and logo at all times. The design and the site files are licensed to you while you subscribe. When the plan ends we send an export pack and domain release instructions. During a 12-month minimum, or during the 3-month minimum on monthly billing, you can buy the files for £299 excluding VAT. That buy-out does not refund the remaining fees. After a minimum ends, and when a year paid upfront comes to an end, the files transfer when you leave.
What you need to send us
You are responsible for the accuracy of the services, prices, areas, accreditations and, for care providers, the CQC rating you ask us to publish. You confirm you have the right to use the logo and photographs you upload. We may refuse wording that we cannot check or that would be misleading.
Edits and fair use
A month includes 1 edit request on Starter, 2 on Business and 4 on Growth. One request is one brief. We classify it and draft a change, and a person approves it before it is published. Work beyond the allowance, including extra pages and shops, is quoted. The first launch includes one round of changes after you see the draft.
Failed payments
If a payment fails we email you on the day, again after 3 days, and again after 7 days, with a link to update the payment method. If the invoice is still unpaid after 14 days, the website is replaced with a holding page until the account is brought up to date. The holding page does not delete your content. Restoring the site after a long gap may need a short check.
Ending the plan
You can ask to end the plan from your account. During a 12-month minimum, a 3-month monthly minimum, or a year already paid, the plan ends when that period ends. After a minimum, and before a yearly renewal, we apply 30 days' notice. When it ends we send an export pack and explain how to move DNS. We do not refuse to release a domain that is registered in your name.
Growth, reviews and the Google profile
Where Vouchsmith is included or added, review requests go to customers generally. We do not select only favourable customers and we do not make a reward depend on a positive review. Google Business Profile care requires you to own the profile. We act as a manager. Posts are checked by a person. Both of those fulfilments can sit behind the billing record until the external account is connected, and the dashboard says so.
Liability
This cap is a draft for a solicitor to settle. We do not exclude liability for death or personal injury caused by negligence, or for fraud. Subject to that, our total liability in a contract year is limited to the fees you paid under that contract in the previous three months. We are not liable for lost profits, or for wording you approved. You are responsible for keeping a copy of your own content.
Law
These terms are intended to be governed by the law of England and Wales. The courts of England and Wales would have exclusive jurisdiction. Confirm both points with a solicitor before relying on them.
